EPOCH BATTERIES AFFILIATE PROGRAM AGREEMENT
Effective Date: September 5, 2026
This Epoch Batteries Affiliate Program Agreement, together with any program details, commission schedules, policies, guidelines, approval notices, and other requirements made available through the Program Platform, collectively constitutes the “Agreement.”
This Agreement is entered into between Epoch Batteries LLC d/b/a Epoch Batteries (“Epoch,” “we,” “us,” or “our”) and the individual or entity applying for or participating in the Epoch Batteries Affiliate Program (“Affiliate,” “you,” or “your”).
By submitting an application, clicking an acceptance box, accessing the Program Platform, using an Affiliate Link, promoting Epoch or its products, or accepting a commission payment, you acknowledge that you have read, understood, and agreed to this Agreement.
When an individual accepts this Agreement on behalf of a company or other legal entity, that individual represents that they have authority to bind that entity.
1. Definitions
For purposes of this Agreement:
1.1 Affiliate Link
“Affiliate Link” means a tracking link, referral URL, promotional code, QR code, or other tracking mechanism issued or expressly approved by Epoch through the Program Platform.
1.2 Approved Promotional Channel
“Approved Promotional Channel” means a specific website, webpage, blog, social-media account, video channel, podcast, email publication, advertising account, mobile application, or other promotional property that:
- You have fully disclosed to Epoch; and
- Epoch has expressly approved in writing.
Approval of one website, account, or channel does not constitute approval of another website, account, page, group, profile, publication, or channel under your ownership or control.
1.3 Approved Promotional Method
“Approved Promotional Method” means the marketing or traffic-generation method that you disclosed and Epoch expressly approved in writing, such as organic editorial content, social-media content, video reviews, email marketing, paid advertising, or offline promotion.
1.4 Commissionable Channel
“Commissionable Channel” means an Epoch-owned checkout, participating dealer checkout, third-party checkout, or other sales channel that Epoch has expressly designated as eligible for affiliate commissions and that is capable of reporting an eligible transaction through the Program Platform.
An authorized Epoch dealer is not automatically a Commissionable Channel merely because the dealer sells Epoch products.
1.5 Net Sale Amount
“Net Sale Amount” means the merchandise subtotal actually received and retained for an eligible product, less:
- Discounts, coupons, promotional credits, rebates, and price adjustments;
- Refunds, returns, cancellations, credits, and chargebacks;
- Taxes, duties, shipping, handling, insurance, installation, and service charges;
- Gift-card purchases;
- Warranty replacements and complimentary products;
- Fraudulent or uncollectible amounts; and
- Any other amount Epoch identifies as noncommissionable.
1.6 Program Platform
“Program Platform” means Refersion or any other affiliate-management, attribution, analytics, or payment platform designated by Epoch.
1.7 Qualified Sale
“Qualified Sale” means a purchase that satisfies every requirement in Section 6.
1.8 Written Approval
“Written Approval” means approval issued through the Program Platform or by email from an Epoch employee or contractor specifically authorized to administer the Affiliate Program.
Approval from a dealer, sales representative, customer-service representative, contractor, or other person who is not authorized to administer the Affiliate Program does not constitute Written Approval. Oral approval is not sufficient.
2. Application and Enrollment
2.1 Accurate application information
You must provide complete, current, and accurate information in your application, including:
- Your legal name and business name;
- Contact and payment information;
- Every website, social-media account, publication, or other channel on which you intend to promote Epoch;
- Your intended marketing and traffic-generation methods;
- Any use of paid advertising, email marketing, discount codes, QR codes, sub-affiliates, agencies, contractors, or advertising networks; and
- Any other information reasonably requested by Epoch.
You must promptly update this information when it changes.
2.2 Eligibility
You represent that you:
- Are at least the age of majority in your jurisdiction;
- Have legal authority to enter into this Agreement;
- Are not prohibited by law from participating in the Program;
- Will provide all required tax and payment documentation; and
- Have not previously been removed from the Program under another name, company, email address, or account unless Epoch has approved your re-enrollment in writing.
2.3 Acceptance or rejection
Epoch may accept, reject, condition, suspend, or revoke an application at any time in its sole discretion. Participation in the Program is a privilege and not a contractual right prior to Epoch’s acceptance.
Epoch is not required to explain why an application was rejected or why additional conditions were imposed, except where applicable law requires otherwise.
2.4 Account security
You are responsible for:
- Maintaining the confidentiality of your account credentials;
- All activity conducted through your account;
- Restricting account access to authorized personnel; and
- Promptly notifying Epoch of suspected unauthorized access.
You may not sell, transfer, rent, share, or sublicense your Affiliate account.
3. Approval of Promotional Channels and Methods
3.1 Mandatory disclosure
Before posting or distributing an Affiliate Link, you must disclose to Epoch the exact channel and method you intend to use. This includes, without limitation:
- Exact website and landing-page URLs;
- Social-media platforms, account names, handles, pages, and groups;
- Video and podcast channels;
- Email newsletters and the source of their subscriber lists;
- Search, social, display, native, or other paid-advertising accounts;
- Mobile applications, browser software, or digital tools;
- QR codes, flyers, event materials, or other offline placements;
- Agencies, contractors, influencers, sub-affiliates, or advertising networks; and
- Any other source of traffic or referrals.
3.2 New channels and methods
You must obtain Written Approval before:
- Using a new promotional channel;
- Using a materially different promotional method;
- Beginning paid advertising;
- Using an affiliate network, sub-affiliate, agency, contractor, or influencer;
- Distributing Affiliate Links through email, SMS, direct messaging, telephone marketing, browser software, or offline materials; or
- Changing the nature or ownership of an Approved Promotional Channel.
3.3 Approval of a channel is not blanket approval
Epoch’s approval of a website, social-media account, channel, or other property does not mean that Epoch approves every individual advertisement, post, link placement, claim, creative, keyword, audience, or selling tactic used on that property.
Epoch may review and reject a specific placement or tactic even when the underlying channel was previously approved.
3.4 Continuing review
All approvals are conditional and subject to continuing review. Epoch may:
- Require changes to a placement or campaign;
- Restrict the products, audiences, territories, or methods you may promote;
- Revoke approval for a channel, method, link, advertisement, or creative;
- Require immediate removal of content; or
- Suspend tracking or payments during a compliance review.
Unless Epoch provides a different deadline, you must complete a requested change or removal within twenty-four hours.
3.5 No implied approval
Epoch’s silence, failure to object, prior commission payment, previous review, or failure to enforce a provision does not constitute approval or a waiver.
You bear the responsibility of obtaining and retaining evidence of Written Approval.
4. Affiliate Responsibilities
You will:
- Promote Epoch professionally, honestly, and lawfully;
- Use Affiliate Links only in Approved Promotional Channels and through Approved Promotional Methods;
- Ensure that all content is accurate, current, and not misleading;
- Use only current product specifications, prices, promotions, warranties, and other information supplied or approved by Epoch;
- Clearly disclose your financial relationship with Epoch;
- Follow all platform rules and applicable laws;
- Promptly remove expired promotions, discontinued products, inaccurate claims, and obsolete materials;
- Protect the reputation, trademarks, customers, dealers, and commercial interests of Epoch;
- Maintain sufficient records to demonstrate compliance; and
- Cooperate fully with any Epoch review or investigation.
You are responsible for the acts and omissions of your employees, contractors, agencies, influencers, and other persons acting on your behalf.
5. Required Affiliate and Endorsement Disclosures
5.1 Clear disclosure of compensation
Whenever you endorse, recommend, review, demonstrate, compare, or link to an Epoch product, you must clearly and conspicuously disclose that you may receive compensation from purchases made through your link or code.
A recommended disclosure is:
“I may earn a commission if you purchase through links in this post.”
Other wording may be used only when it communicates the same information clearly to an ordinary consumer.
The terms “affiliate link,” “commissionable link,” or similar industry terminology, standing alone, may not sufficiently explain the relationship and should not be used as the only disclosure.
5.2 Placement of disclosure
The disclosure must:
- Appear before or immediately next to the endorsement or Affiliate Link;
- Be difficult to miss;
- Be in a size, color, duration, and format that an ordinary consumer can notice and understand;
- Appear on every relevant page, post, video, or communication;
- Not be buried in a footer, profile biography, terms page, group of hashtags, expandable section, or separate webpage; and
- Be visible without requiring the consumer to click “more,” scroll through substantial content, or search for it.
5.3 Video, audio, and livestream disclosures
For video content, the disclosure must generally be both:
- Stated verbally; and
- Displayed prominently on screen.
For audio-only content, the disclosure must be stated verbally.
For livestreams or other content that consumers may join after it begins, the disclosure must be repeated periodically and presented near the endorsement or Affiliate Link.
A platform-provided “paid partnership” tool may supplement, but does not necessarily replace, a clear disclosure in the content itself.
5.4 Free products and other benefits
You must disclose all material benefits received from Epoch, including:
- Free or discounted products;
- Travel or event expenses;
- Special access;
- Bonuses or incentives;
- Sponsorship payments; and
- The opportunity to earn commissions.
5.5 Honest experience
Any opinion, endorsement, testimonial, demonstration, or review must reflect your honest opinion and actual experience.
You may not claim to have purchased, installed, tested, compared, or used a product unless that statement is true.
6. Qualified Sales and Attribution
6.1 Requirements for a Qualified Sale
A transaction is a Qualified Sale only when all of the following conditions are satisfied:
- A customer deliberately clicks an authentic Affiliate Link appearing through an Approved Promotional Channel and Approved Promotional Method;
- The customer completes the purchase through a Commissionable Channel;
- The purchase is completed during the applicable attribution window;
- The Program Platform properly records and attributes the transaction to your account;
- Valid payment is processed and received;
- The transaction is not canceled, refunded, returned, disputed, charged back, fraudulent, or otherwise reversed;
- The transaction is not a personal purchase or other excluded transaction;
- The transaction was not generated or assisted by prohibited, undisclosed, or unapproved conduct;
- The order is not a wholesale, distributor, OEM, employee, dealer, installer, fleet, or other specially priced order unless Epoch expressly designates it as commissionable; and
- You are in compliance with this Agreement at the time of the referral, transaction, review, and payment.
Every requirement is a condition of commission eligibility.
6.2 Commission rate
Unless the Program Platform or an individual written offer states otherwise, the base commission is:
Ten percent (10%) of the Net Sale Amount of each Qualified Sale.
A custom rate applies only for the period and transactions expressly identified by Epoch. A higher rate offered to another affiliate does not entitle you to that rate.
6.3 Attribution window
Unless otherwise stated in the Program Platform, the attribution window is:
Thirty (30) days after the customer’s eligible click.
The tracking cookie or other attribution mechanism may expire earlier if it is deleted, blocked, replaced, disabled, or otherwise unavailable.
6.4 Attribution method
Unless Epoch specifies otherwise, the Program Platform’s last eligible affiliate-click attribution will apply.
A later eligible click from another affiliate, an approved promotional code, or another marketing source may replace your attribution.
The Program does not guarantee cross-device, cross-browser, offline, telephone, dealer, or identity-based attribution.
6.5 Program Platform records
The Program Platform’s tracking and Epoch’s transaction records will control commission determinations absent a manifest technical error established by reliable evidence.
Epoch is not required to provide manual credit for:
- Untracked purchases;
- Deleted or blocked cookies;
- Purchases on another device or browser;
- Purchases outside the attribution window;
- Incorrect or altered links;
- Offline or telephone orders;
- Dealer purchases;
- Customer failure to use a link or code; or
- Platform or network tracking limitations.
Epoch may provide a manual adjustment in its discretion, but is not obligated to do so.
6.6 Dealer and offline transactions
A visit to a dealer locator, submission of a lead form, request for a quote, telephone call, in-store visit, or purchase from an authorized Epoch dealer does not constitute a Qualified Sale unless:
- Epoch has expressly designated that particular transaction type and sales channel as commissionable;
- The participating dealer has agreed to the applicable tracking and reporting requirements; and
- The transaction is successfully reported through the Program Platform.
No commission is payable merely because an affiliate introduced a customer who later purchases from a dealer.
6.7 Excluded transactions
The following are not commissionable unless Epoch expressly approves them:
- Purchases made by you;
- Purchases made on your behalf;
- Purchases made through an account, payment method, billing address, shipping address, device, business, or entity you own or control;
- Purchases by an immediate family or household member when made primarily to generate a commission;
- Orders intended for resale;
- Dealer, distributor, wholesale, OEM, fleet, installer, commercial, or employee orders;
- Gift-card purchases;
- Warranty replacements;
- Free, sample, test, sponsorship, or promotional products;
- Orders that use an unauthorized or leaked discount code;
- Fraudulent, duplicate, test, or manipulated orders;
- Transactions associated with a violation of this Agreement; and
- Products, categories, territories, or channels identified as excluded in the Program Platform.
7. Commission Status and Payment
7.1 Conditional and pending status
A tracked transaction or amount shown as “pending,” “unapproved,” “estimated,” or similar language is not an earned commission.
A commission becomes payable only after Epoch has:
- Confirmed that the transaction is a Qualified Sale;
- Completed any applicable return, fraud, chargeback, and compliance review;
- Approved the commission; and
- Received all required tax and payment documentation from you.
7.2 Payment schedule and threshold
Commission-payment timing, minimum thresholds, payment methods, currencies, and processing requirements will be those stated in the Program Platform or communicated by Epoch.
Epoch may carry a balance forward until the applicable minimum payment threshold is reached.
7.3 Returns and adjustments
If a transaction is canceled, refunded, returned, charged back, disputed, identified as fraudulent, or later determined to be ineligible:
- The related commission may be denied or reversed;
- Epoch may deduct it from current or future commissions;
- Epoch may place your account into a negative balance; and
- You must repay any overpayment upon request.
A partial refund may result in a proportionate commission adjustment.
7.4 Taxes and expenses
You are solely responsible for:
- All taxes applicable to your commissions;
- Providing accurate tax forms and taxpayer-identification information;
- Payment-provider and currency-conversion charges;
- Your advertising, equipment, personnel, content-production, and operating expenses; and
- Any licenses or registrations required for your business.
Epoch may withhold taxes or other amounts where legally required.
7.5 Account-statement disputes
You must submit a written commission dispute within sixty days after the relevant transaction or statement appears in the Program Platform.
The dispute must include the order information, placement, traffic source, date, Affiliate Link, and supporting records. To the fullest extent permitted by law, commission disputes not raised within that period are waived.
8. Prohibited Promotional and Attribution Practices
The following conduct is prohibited unless a specific provision states that prior Written Approval may be granted.
8.1 Cookie stuffing and forced attribution
You may not engage in cookie stuffing or any practice that sets, injects, refreshes, replaces, or overwrites an affiliate cookie or other tracking identifier without a consumer’s deliberate and informed click on a clearly identified link.
Prohibited practices include:
- Forced clicks;
- Automatic redirects;
- Pop-ups or pop-unders that trigger tracking;
- Invisible images, links, pixels, or iframes;
- Tracking tags fired on page load;
- Clickjacking;
- Hidden frames;
- Automatic cookie refreshes;
- Software-generated clicks;
- Intercepting or redirecting a consumer’s navigation;
- Overwriting another affiliate’s attribution;
- Loading an Epoch webpage in an undisclosed frame;
- Using browser history, scripts, or device processes to simulate a referral; and
- Any similar attribution-manipulation technique.
8.2 Adware, malware, extensions, and injected links
You may not distribute or use:
- Adware;
- Spyware;
- Malware;
- Toolbars;
- Browser extensions;
- Downloadable software;
- Link-injection software;
- Shopping assistants;
- Coupon extensions;
- Notification software; or
- Other technology that inserts, replaces, redirects, or activates Affiliate Links.
8.3 Coupon, discount, loyalty, and rebate promotion
You may not promote Epoch through:
- Coupon websites;
- Deal-aggregation websites;
- Coupon directories;
- Discount-code databases;
- Cashback programs;
- Loyalty or rewards programs;
- Rebate programs; or
- Browser-based coupon tools.
You may not publish, distribute, scrape, submit, or promote an Epoch discount code unless the code was issued directly to you and Epoch expressly approved its placement.
If your assigned code appears on an unauthorized coupon or deal website, Epoch may revoke the code and deny commissions generated through its unauthorized distribution.
8.4 Self-referrals and related purchases
You may not use your Affiliate Link or code for personal purchases or purchases made primarily for your benefit.
You may not structure an order through a family member, employee, business, controlled entity, alternative account, or third party to avoid this restriction.
8.5 Fraudulent traffic or transactions
You may not generate or participate in:
- Fake, duplicate, or fabricated orders;
- Stolen-payment transactions;
- Click farms;
- Bots or automated traffic;
- Fabricated leads;
- Traffic exchanges;
- Incentivized clicking;
- Artificial account creation;
- Refund or chargeback schemes;
- Order splitting intended to increase commissions;
- Conversion manipulation; or
- Any transaction lacking a genuine customer purchasing intent.
8.6 Paid-search restrictions
Without specific Written Approval, you may not:
- Bid on “Epoch,” “Epoch Batteries,” Epoch product names, trademarks, slogans, domain names, or misspellings and variations of them;
- Use an Epoch Mark in paid-search keywords, ad titles, display URLs, account names, or ad copy;
- Present an advertisement as an official Epoch advertisement;
- Direct-link from a paid advertisement to an Epoch or participating-dealer website;
- Bid on phrases such as “Epoch coupon,” “Epoch discount,” or “Epoch promo code”;
- Use search-engine arbitrage, ad hijacking, or impression hijacking; or
- Run retargeting advertisements based on traffic to an Epoch-owned property.
When Epoch approves generic paid-search advertising, you may be required to add Epoch Marks and variations as negative keywords.
8.7 Domain names and account names
You may not register, purchase, use, or control any domain name, subdomain, social-media handle, username, page name, application name, email address, or business name that:
- Contains or is confusingly similar to an Epoch Mark;
- Uses a misspelling or variation of an Epoch Mark;
- Suggests that the property is owned, operated, endorsed, or officially authorized by Epoch; or
- Is likely to divert consumers seeking an official Epoch property.
8.8 Misleading content
You may not make a statement or create an overall impression that is false, misleading, deceptive, unsubstantiated, or likely to confuse a consumer.
This includes false or misleading statements about:
- Product specifications or performance;
- Safety;
- Certifications or regulatory approvals;
- Compatibility;
- Battery life or cycle life;
- Charging time;
- Installation;
- Warranty coverage;
- Product availability;
- Price or discounts;
- Limited inventory or urgency;
- Environmental benefits;
- Comparisons with competitors; or
- Your relationship with Epoch.
8.9 Unauthorized technical or safety claims
You may not make technical, safety, warranty, shipping, certification, compatibility, or performance claims unless the claim appears in current Epoch-approved materials for the exact product being promoted.
You may not encourage consumers to:
- Disable or bypass safety systems;
- Modify a battery in a manner not authorized by Epoch;
- Ignore installation or charging instructions;
- Use a product in an unapproved application; or
- Engage in conduct that could create a safety risk.
8.10 Fake or manipulated reviews
You may not:
- Create or distribute a fake review or testimonial;
- Use a fictitious or AI-generated person as an actual customer or reviewer;
- Claim experience with a product that you did not have;
- Buy or sell reviews;
- Condition compensation on a positive or negative review;
- Manipulate review ratings or voting systems;
- Republish a review for a different product;
- Suppress or threaten a person over an honest review;
- Post undisclosed reviews by employees, family members, or agents; or
- Publish a purportedly independent comparison site that is controlled by you or Epoch without clearly disclosing the relationship.
8.11 Spam and unsolicited communications
You may not use spam, purchased lists, harvested addresses, mass unsolicited direct messages, or other unwanted communications.
Email, SMS, telephone, direct-message, or similar outreach requires prior Written Approval and must comply with Section 9.
8.12 Incentivized traffic
You may not offer money, points, prizes, sweepstakes entries, donations, credits, rebates, discounts, or other consideration in exchange for clicking an Affiliate Link or completing a transaction unless Epoch has approved the exact incentive in writing.
8.13 Unauthorized sub-affiliates
You may not use a sub-affiliate network, influencer network, traffic broker, media buyer, agency, contractor, or other downstream promoter without prior Written Approval.
When approved, you remain fully responsible for the downstream party’s conduct. You must maintain records identifying each downstream source and ensure that each party complies with this Agreement.
8.14 Unauthorized link placements
You may not place Affiliate Links:
- On any undisclosed or unapproved property;
- In a forum, group, comment section, community, or platform where commercial or affiliate links are prohibited;
- In a private group or community without authorization from its owner or moderator;
- In another person’s content without permission;
- In deceptive buttons, images, downloads, or interface elements;
- In pirated or infringing content;
- In advertisements that violate the hosting platform’s rules; or
- In a manner that conceals the commercial nature or destination of the link.
8.15 Link cloaking and obscured destinations
You may not cloak, mask, shorten, redirect, or modify an Affiliate Link in a manner that:
- Hides its destination;
- Prevents Epoch from identifying the source;
- Misleads the consumer;
- Interferes with tracking; or
- Circumvents review.
Ordinary link-shortening tools may be used only when Epoch has approved the tool and can verify the original link and placement.
8.16 Prohibited content and environments
You may not promote Epoch on or alongside content that is:
- Unlawful;
- Fraudulent or deceptive;
- Defamatory;
- Hateful or discriminatory;
- Sexually explicit;
- Violent or threatening;
- Malicious or harmful;
- Infringing;
- Primarily directed to children under thirteen;
- Designed to facilitate illegal activity; or
- Otherwise reasonably determined by Epoch to be harmful to its customers, dealers, reputation, or commercial interests.
8.17 Unauthorized data collection
You may not scrape, harvest, purchase, sell, share, or misuse personal information relating to Epoch customers, website visitors, dealers, employees, or other affiliates.
You may not install tracking technology on an Epoch-owned or dealer-owned property or collect information on behalf of Epoch without a separate written agreement.
8.18 Unauthorized marketplace or resale activity
Affiliate participation does not authorize you to:
- Resell Epoch products;
- List Epoch products on a marketplace;
- Act as a dealer, distributor, installer, or sales representative;
- Accept payments or orders on behalf of Epoch;
- Create unauthorized product listings; or
- direct customers to unauthorized sellers.
8.19 Catch-all prohibition
You may not use any method that Epoch, in its good-faith discretion, determines to be:
- Deceptive;
- Abusive;
- Intrusive;
- Technologically manipulative;
- Inconsistent with normal consumer intent;
- Likely to create customer confusion;
- Harmful to Epoch, its dealers, or its customers;
- Contrary to applicable law or industry standards;
- Inconsistent with the purpose of the Program; or
- Otherwise unacceptable to Epoch.
A method does not become permissible merely because it is not expressly listed in this Section.
9. Email, Text, Telephone, and Direct Messaging
9.1 Prior approval
You may not promote Epoch through email, SMS, automated messaging, telephone calls, voicemail, or direct messaging without prior Written Approval covering the specific channel, audience, list source, message type, and sending method.
9.2 Email requirements
Approved commercial email must:
- Be sent only to recipients whom you may lawfully contact;
- Use accurate sender, routing, and subject-line information;
- Clearly identify the sender;
- Accurately describe the message;
- Clearly identify the commercial nature of the message where required;
- Include the sender’s valid physical postal address;
- Include a clear and functioning unsubscribe mechanism;
- Promptly honor unsubscribe and suppression requests;
- Include the required affiliate disclosure;
- Comply with applicable anti-spam and privacy laws; and
- Comply with Epoch’s instructions.
You may not use a purchased, rented, scraped, harvested, or improperly transferred list.
9.3 No impersonation
You may not send a message that appears to come directly from Epoch or an Epoch dealer. You may not use an Epoch employee’s name, an Epoch-formatted email address, or misleading sender information.
9.4 Calls and text messages
You may not send automated or prerecorded marketing calls or text messages unless:
- Epoch has approved the campaign in writing;
- You have independently obtained all legally required consent;
- The consent specifically covers the seller and communication at issue; and
- You maintain reliable records proving that consent.
You must promptly honor opt-outs and revocations of consent.
9.5 Responsibility
You are the sender or initiator of communications you distribute and are solely responsible for their legality. Epoch’s review of a message does not relieve you of that responsibility.
10. Epoch’s Review, Audit, Withholding, and Commission-Denial Rights
10.1 Right to review selling tactics and link placements
Epoch may review, inspect, test, investigate, approve, reject, or require changes to:
- Where Affiliate Links are posted;
- How Affiliate Links are displayed or activated;
- The source and quality of traffic;
- Selling tactics and promotional methods;
- Advertisements, posts, videos, reviews, emails, and other content;
- Keywords, audiences, targeting, landing pages, and calls to action;
- Coupon-code distribution;
- Attribution patterns;
- Conversion, refund, and chargeback behavior; and
- Any other activity connected with your participation.
Epoch has no obligation to continuously monitor Affiliate activity. The absence of monitoring does not limit Epoch’s rights.
10.2 Records and cooperation
You must maintain for at least three years records sufficient to establish compliance, including where applicable:
- Exact placement URLs;
- Screenshots or archived copies of content;
- Publication and removal dates;
- Traffic-source and referrer reports;
- Advertising-platform reports;
- Keywords, targeting, and ad creatives;
- Email-list acquisition and consent records;
- Copies of required disclosures;
- Sub-affiliate and contractor records;
- Records of any incentives; and
- Other information reasonably requested by Epoch.
You must provide requested information within five business days, or sooner when Epoch reasonably believes immediate action is needed to prevent fraud, consumer harm, legal exposure, or brand damage.
You are not required to provide account passwords, but must provide reasonably sufficient reports, exports, screenshots, or read-only evidence.
10.3 Suspension and withholding during review
Epoch may, without prior notice:
- Suspend your account;
- Disable an Affiliate Link or code;
- Hold pending commissions;
- Delay a payout;
- Place transactions under review;
- Reject new referrals; or
- Require removal of content
while Epoch investigates potential noncompliance, fraud, returns, chargebacks, attribution manipulation, customer complaints, or unusual activity.
A hold may continue for as long as reasonably necessary to complete the investigation and address related return, chargeback, platform, dealer, or legal issues.
10.4 Unapproved methods are noncommissionable
No commission is earned from a promotional channel, link placement, traffic source, or selling tactic that Epoch has not expressly approved or that Epoch subsequently determines violated this Agreement.
This applies even when:
- The Program Platform technically tracked the transaction;
- The customer completed a valid purchase;
- The content appeared on an otherwise approved website or account;
- Epoch previously paid other commissions from the account; or
- Epoch did not identify the issue before the transaction occurred.
10.5 Denial and reversal
Epoch may deny, cancel, reverse, offset, or recover any commission associated with:
- An unapproved or undisclosed channel or method;
- Cookie stuffing or forced attribution;
- Fraudulent or manipulated traffic;
- Self-referrals;
- Coupon leakage or unauthorized coupon promotion;
- Misleading or unlawful advertising;
- Failure to make required disclosures;
- Fake or manipulated reviews;
- A breach of this Agreement; or
- Any transaction that does not qualify as a Qualified Sale.
Commission denial is a determination that the eligibility conditions were not satisfied and is not a contractual penalty.
10.6 Inability to segregate affected transactions
When Affiliate records, platform data, or traffic patterns do not allow Epoch to reliably separate compliant transactions from transactions generated or influenced by prohibited, undisclosed, or unapproved conduct, Epoch may deem all commissions associated with the affected campaign, traffic source, code, channel, or review period ineligible.
10.7 Intentional misconduct
When Epoch determines that Affiliate intentionally engaged in or concealed cookie stuffing, fraud, attribution manipulation, fake transactions, unauthorized sub-affiliate traffic, or similar deliberate misconduct, Epoch may, to the fullest extent permitted by law:
- Void all unpaid commissions associated with the affected account or period;
- Permanently terminate Affiliate from the Program;
- Require repayment of previously paid commissions;
- Offset amounts against any other amount owed to Affiliate;
- Notify the Program Platform or affected business partners; and
- Pursue available legal remedies.
10.8 Repayment and offset
If Epoch pays a commission later determined to be ineligible, you must repay it within fifteen days after written demand.
Epoch may offset the amount against any current or future payment owed to you under this or another agreement.
10.9 Epoch determinations
Epoch will make commission and compliance determinations in good faith based on information reasonably available to it.
Epoch’s determination is final absent manifest error. You may submit a written request for reconsideration within thirty days, together with all supporting evidence. Epoch is not required to reconsider a dispute based on information that you previously failed to provide when requested.
10.10 No waiver through payment
Approval or payment of a commission does not waive Epoch’s right to investigate, reverse, or recover the payment if later information establishes that the commission was ineligible.
11. Epoch Intellectual Property
11.1 Limited license
During your approved participation, Epoch grants you a limited, nonexclusive, nontransferable, nonsublicensable, revocable license to use the Epoch names, trademarks, logos, product images, and other materials supplied through the Program (“Epoch Materials”) solely to promote Epoch through Approved Promotional Channels and Methods.
11.2 Restrictions
You may not:
- Modify, distort, animate, recolor, or create derivative versions of Epoch Materials;
- Remove copyright, trademark, safety, or proprietary notices;
- Use Epoch Marks as part of your business name, domain, username, product, or service;
- Suggest ownership, agency, employment, dealership, sponsorship, certification, or official status beyond being an approved affiliate;
- Register or challenge any Epoch Mark;
- Use Epoch Materials to promote another product or seller;
- Copy substantial portions of an Epoch website;
- Publish a press release about the relationship without Written Approval; or
- Continue using Epoch Materials after termination or a removal request.
11.3 Ownership and goodwill
Epoch retains all ownership of Epoch Materials and Marks. All goodwill arising from your permitted use will benefit Epoch.
Except for the limited license in this Section, no intellectual-property rights are transferred.
11.4 Affiliate content
You are responsible for obtaining rights to all photographs, music, videos, text, testimonials, trademarks, and other materials you use.
Epoch’s provision of product information does not grant rights to third-party content appearing in or alongside that information.
12. Product Information, Pricing, and Customer Relationships
12.1 Current information only
You must use current Epoch information for the exact product being promoted. Product features can vary by model, voltage, configuration, or production period.
You must promptly correct or remove inaccurate or outdated information.
12.2 Pricing and promotions
Prices, inventory, discounts, availability, shipping terms, warranties, and promotions may change.
You may not promise:
- A price;
- Product availability;
- Delivery timing;
- A discount;
- Compatibility;
- An installation outcome;
- Warranty approval; or
- Any term not expressly authorized by Epoch.
12.3 No authority to bind Epoch
You have no authority to:
- Enter into an agreement on behalf of Epoch;
- Accept an order or payment for Epoch;
- Issue a refund;
- Approve a warranty claim;
- Modify an Epoch warranty or policy;
- Make a representation or guarantee on Epoch’s behalf;
- Provide official technical approval; or
- Incur an obligation in Epoch’s name.
12.4 Customer support
Customer questions concerning orders, technical support, returns, warranties, shipping, installation, or product compatibility must be directed to Epoch or the applicable participating dealer.
Affiliate may describe personal experience but may not present itself as Epoch customer support or technical personnel.
12.5 Customer ownership
Customers purchasing Epoch products are customers of Epoch or the applicable seller, not the Affiliate. Affiliate does not acquire rights in customer information or future transactions.
13. Privacy, Data Security, and Tracking
13.1 Legal compliance
You must comply with applicable privacy, data-protection, cookie, advertising, and cybersecurity laws.
When your property collects personal information or uses tracking technology, you must maintain an accurate privacy notice and obtain any required consent.
13.2 Restrictions on customer information
You may not collect personal information on behalf of Epoch or represent that information is being submitted to Epoch unless authorized under a separate written agreement.
You may not collect or store a customer’s payment-card information for an Epoch transaction.
13.3 No unauthorized tracking
You may not:
- Place a pixel, cookie, script, or other technology on an Epoch-owned or dealer-owned property;
- Retarget Epoch website visitors;
- Build an advertising audience using Epoch customer data;
- Scrape Epoch properties;
- Attempt to identify Epoch customers;
- Combine Epoch data with other data; or
- Circumvent privacy or security controls.
13.4 Security incident
You must notify Epoch promptly, and no later than twenty-four hours after discovery, of any unauthorized access, disclosure, loss, or misuse of Program-related information or account credentials.
You must reasonably cooperate with investigation and remediation.
13.5 Program Platform
Your use of the Program Platform is also subject to the platform provider’s terms and privacy practices. Epoch is not responsible for the independent acts, omissions, availability, or security of the platform provider.
14. Confidentiality
14.1 Confidential information
“Confidential Information” means nonpublic information disclosed by Epoch, including:
- Custom commission rates;
- Sales and conversion reports;
- Customer, dealer, and affiliate information;
- Product plans and unreleased products;
- Pricing and promotional strategies;
- Technical information;
- Security and fraud information;
- Internal policies; and
- Information identified as confidential or that reasonably should be understood to be confidential.
14.2 Protection and use
You must:
- Protect Confidential Information using reasonable care;
- Use it only for your participation in the Program;
- Disclose it only to personnel who need it and are bound by confidentiality obligations; and
- Not use it to compete with, harm, or circumvent Epoch or its dealers.
14.3 Exclusions
Confidential Information does not include information that you can establish:
- Became public without your breach;
- Was lawfully known to you without restriction;
- Was received lawfully from a third party without a confidentiality duty; or
- Was independently developed without using Epoch Confidential Information.
14.4 Required disclosure
When legally compelled to disclose Confidential Information, you must, where legally permitted, promptly notify Epoch and reasonably assist it in seeking protective treatment.
15. Independent Contractor; No Agency
Affiliate is an independent contractor.
Nothing in this Agreement creates:
- An employment relationship;
- Partnership;
- Joint venture;
- Agency;
- Franchise;
- Dealership;
- Fiduciary relationship; or
- Exclusive arrangement.
You control the time, place, and manner of your work, subject to the promotional and compliance requirements in this Agreement.
You are not entitled to employee benefits and have no authority to bind Epoch. You are responsible for your personnel, expenses, insurance, licenses, and taxes.
You may not state or imply that you are an Epoch employee, representative, dealer, distributor, or authorized installer unless you have a separate written agreement granting that status.
16. Representations and Warranties
You represent and warrant that:
- You have authority to enter into and perform this Agreement;
- Your participation and content will comply with applicable laws and platform rules;
- Your content will not infringe intellectual-property, privacy, publicity, or other rights;
- Your statements will be truthful, accurate, and substantiated;
- Your endorsements will reflect honest experience;
- Your traffic will be generated lawfully and through disclosed and approved methods;
- You will not engage in fraudulent, deceptive, manipulative, or abusive conduct;
- You will maintain legally required disclosures, consents, permissions, and records;
- You are not relying on a promise of minimum sales, traffic, income, commissions, or profitability; and
- Information you provide to Epoch will be complete and accurate.
17. Term, Suspension, and Termination
17.1 Term
This Agreement begins when Epoch accepts you into the Program and continues until terminated.
17.2 Termination for convenience
Either party may terminate participation at any time by written notice.
Epoch may also discontinue or restructure the Program at any time.
17.3 Immediate suspension or termination
Epoch may immediately suspend or terminate you, disable your links or codes, and withhold payments when Epoch believes that you:
- Breached this Agreement;
- Used an undisclosed or unapproved method;
- Engaged in cookie stuffing, fraud, or attribution manipulation;
- Created legal, customer, security, or reputational risk;
- Failed to cooperate with a review;
- Supplied inaccurate information;
- Accumulated unusual returns, chargebacks, or complaints;
- Became inactive; or
- Otherwise ceased to be a suitable Program participant.
17.4 Effect of termination
Upon suspension or termination, you must immediately:
- Stop presenting yourself as an Epoch affiliate;
- Stop distributing Affiliate Links and codes;
- Remove Epoch Materials;
- Stop using Epoch Marks;
- Cancel scheduled promotions;
- Return or destroy Confidential Information as requested; and
- Comply with reasonable wind-down instructions.
No commission is payable for a transaction completed after termination unless Epoch expressly approves it.
Qualified Sales completed before termination may remain payable after all review periods, except that commissions associated with a breach, fraud, prohibited activity, or unapproved method may be denied or reversed.
17.5 Survival
Provisions concerning commission adjustments, audits, repayment, intellectual property, confidentiality, data, taxes, indemnification, limitations of liability, disputes, and other provisions that by their nature should survive will survive termination.
18. Indemnification
You will defend, indemnify, and hold harmless Epoch, its parent companies, affiliates, participating dealers, service providers, and their respective officers, directors, employees, agents, and representatives from claims, demands, investigations, proceedings, damages, judgments, penalties, losses, liabilities, settlements, costs, and reasonable attorneys’ fees arising out of or relating to:
- Your promotional activities or content;
- Your breach of this Agreement;
- Your violation of law or platform rules;
- False, misleading, or unsubstantiated advertising;
- Failure to provide required disclosures;
- Email, telephone, SMS, or direct-message marketing;
- Privacy, data-security, or consent violations;
- Intellectual-property, privacy, or publicity-right claims;
- Product representations or promises made by you;
- Taxes or employment obligations relating to you or your personnel;
- Conduct of an approved or unapproved sub-affiliate, contractor, or agency; or
- Fraud, cookie stuffing, or attribution manipulation connected with your account.
Epoch may assume control of the defense using counsel of its choosing at your expense. You may not settle a claim in a manner that admits wrongdoing by, imposes an obligation on, or restricts Epoch without Epoch’s prior written consent.
19. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PROGRAM, PROGRAM PLATFORM, AFFILIATE LINKS, TRACKING, REPORTS, AND EPOCH MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
EPOCH DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RESULTS.
EPOCH DOES NOT WARRANT THAT:
- THE PROGRAM WILL BE CONTINUOUS OR ERROR-FREE;
- EVERY REFERRAL OR TRANSACTION WILL BE TRACKED;
- A PARTICULAR CHANNEL OR METHOD WILL REMAIN APPROVED;
- A PRODUCT OR PROMOTION WILL REMAIN AVAILABLE;
- YOU WILL EARN ANY MINIMUM COMMISSION OR REVENUE; OR
- THE PROGRAM PLATFORM WILL BE AVAILABLE, SECURE, OR ACCURATE AT ALL TIMES.
Product warranties, where applicable, are governed by the separate warranty terms supplied with the relevant product and do not expand Affiliate rights.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EPOCH AND ITS AFFILIATES, DEALERS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITY, REPUTATIONAL HARM, OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATING TO THE PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY.
EPOCH’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE PROGRAM WILL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PROPERLY PAYABLE TO YOU DURING THE SIX MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of the form of action, including contract, tort, negligence, strict liability, or statute, and will apply to the fullest extent permitted by law.
21. Program and Agreement Changes
Epoch may modify:
- This Agreement;
- Commission rates;
- Attribution windows;
- Eligible products;
- Payment schedules;
- Promotional restrictions;
- Program Platform;
- Commissionable Channels; or
- Any other Program feature.
Epoch may provide notice through the Program Platform, email, or posting on the Program page.
Except where an immediate change is reasonably necessary for legal compliance, fraud prevention, consumer protection, security, or brand protection, material commercial changes will apply prospectively from their stated effective date.
Continued use of Affiliate Links or participation after the effective date constitutes acceptance. Your remedy when you disagree with a modification is to stop participating and terminate the Agreement.
22. Governing Law and Disputes
22.1 Informal resolution
Before filing a legal proceeding, a party must provide written notice describing the dispute and requested resolution. The parties will attempt in good faith to resolve the matter for thirty days.
This requirement does not prevent either party from seeking immediate injunctive or equitable relief concerning fraud, confidentiality, intellectual property, data security, or unauthorized use of Epoch Marks.
22.2 Governing law
This Agreement will be governed by the laws of the State of Georgia, without regard to conflict-of-law rules.
22.3 Venue and jurisdiction
The parties consent to exclusive jurisdiction and venue in the state and federal courts located in or serving Cobb County, Georgia, for disputes arising from or relating to this Agreement.
23. Notices
Epoch may provide notice to you through:
- Your Program Platform account;
- The email address associated with your account; or
- Posting on the Program page.
You are responsible for maintaining an active email address and reviewing Program notices.
Notices to Epoch must be sent to the affiliate-program contact shown in the Program Platform, with a copy to the then-current legal or business address listed on Epoch’s official Contact page.
Notice is effective when transmitted electronically unless the sender receives a delivery-failure notification.
24. General Provisions
24.1 Nonexclusive relationship
Epoch may operate other affiliate, dealer, distributor, sponsorship, influencer, referral, and advertising programs and may work directly with any person or company, including your competitors.
24.2 Assignment
You may not assign, delegate, transfer, sell, or sublicense this Agreement or your Program account without Epoch’s prior Written Approval.
Epoch may assign this Agreement to an affiliate, successor, purchaser, or entity acquiring all or part of the applicable business.
24.3 Force majeure
Epoch is not responsible for delay or failure caused by events beyond its reasonable control, including natural disasters, labor disputes, carrier failures, supply-chain interruptions, acts of government, utility or internet failures, cyber incidents, platform outages, war, terrorism, epidemics, or civil disorder.
24.4 Severability
If a provision is determined to be invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect.
24.5 Waiver
A waiver must be in writing and signed by the waiving party. Failure or delay in enforcing a provision does not waive it.
24.6 Entire agreement
This Agreement constitutes the entire agreement concerning the Affiliate Program and supersedes prior affiliate-program discussions, communications, and understandings.
Separate dealer, sponsorship, product-review, or services agreements remain governed by their own terms.
24.7 Order of precedence
In the event of a conflict:
- A written addendum signed by Epoch and Affiliate controls;
- The Program Platform controls only with respect to a specifically stated commission rate, attribution window, eligible product, payment method, or commercial term;
- This Agreement controls affiliate conduct, compliance, reviews, commission eligibility, and dispute matters; and
- General marketing statements do not modify this Agreement.
24.8 Electronic acceptance
Electronic acceptance, platform acceptance, and electronic records have the same effect as a handwritten signature and paper record.
24.9 No third-party rights
Except for indemnified parties expressly identified in Section 18, this Agreement does not create enforceable rights for any third party.
